1. BACKGROUND
The Companies Act (CAP 46:03), provides the legal framework for the incorporation, registration, regulation and governance of companies in Malawi, and to establish the mandate and functions of the Registrar of Companies.

The Act came into force in 2017 following the promulgation of the Companies Regulations 2017) and it has been implemented for several years. Over this period, practical implementation experience has revealed a number of conceptual, legal and operational gaps.

Against this background, the Government of Malawi, through Ministry of Finance Economic Planning and Decentralization, Under Malawi Fiscal Governance, Program for Results (PforR), Investment Project Financing (IPF) Component, seeks to engage a consultant or a consulting firm to provide technical support for the comprehensive review of the Act and its implementation framework.

2. Objective of the assignment is to review the Companies, Act and support implementation of reforms that will strengthen corporate transparency, facilitate effective beneficial ownership disclosure and compliance in line with relevant FAT Recommendations, enhance regulatory effectiveness, and supports ease of doing business, and digital registry administration aligned with international best practices.

3. Scope of Work
The consultant will undertake activities under four components, aligned with the approved project proposal.

  1. Legal Regulatory Review: Conduct comprehensive legal baseline mapping comprehensive legal baseline mapping
  2. Development of User Support Tools to improve compliance and usability of the beneficial ownership disclosure system.
  3. Compliance Monitoring and System Oversight. The consultant shall support CRIPC to strengthen monitoring of beneficial ownership disclosure.
  4. The consultant shall strengthen institutional capacity through Training sessions for CRIPC staff and Workshops for key stakeholders.

4. Duration of the assignment
The consultancy shall be conducted over a period of twelve weeks from the date of contract signing.

5. Required Qualifications and Experience

The Consultant or Lead Consultants shall possess;

  1. At least a Master’s Degree in Law, Company Law, Commercial Law, Corporate Law or any other related field or an equivalent qualification.
  2. At least 10 years of general experience in similar assignment
  3. At least 5 years of experience in legislative drafting.
  4. Candidates without a Master’s Degree may qualify if they have at least fifteen (15) years of proven professional experience in company law, corporate governance, commercial law, regulatory reform, or legislative drafting.
  5. Demonstrated skills and experience in facilitation of stakeholder engagements/ workshops.
  6. Demonstrated familiarity with beneficial ownership transparency, including practical knowledge of legal and regulatory frameworks for beneficial ownership disclosure, verification, and access;
  7. Proven experience in reviewing, drafting, or amending primary legislation or subsidiary legislation;
  8. Familiarity with international and regional best practices, including FATF standards and comparative company law standards and comparative company law
  9. Experience working with public sector bodies will be an added advantage.

6. Terms of References
Interested Individual consultants may obtain terms of reference (ToRs) from the Chief Procurement Officer, Ministry of Finance, Economic Planning and Decentralisation, Room 36, Capital Hill during office hours of Monday to Friday from 08:30 to 16:30 hours except in weekends and public holidays.

7. Submission of Expression of Interest
